Welcome to The DigiFund. These Terms of Service ("Terms") govern your use of our website located at www.thedigifund.com (the "Site") and the services provided through the Site (collectively the "Services"). By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site or Services.

1. Eligibility

1.1. To use the Services, you must be at least 18 years old or have the consent of a parent or legal guardian. By using the Services, you represent and warrant that you meet these eligibility requirements.

1.2. You must provide accurate, complete, and up-to-date information during the registration process and maintain the security of your account by protecting your password and restricting access to your account.

2. Services

2.1. The DigiFund provides a real estate crowdfunding platform that allows users to invest in real estate properties listed on our Site.

2.2. All investments made through The DigiFund are subject to KYC (Know Your Customer) and AML (Anti-Money Laundering) procedures which may require users to submit personal information and documentation.

3. Investments

3.1. Investments on The DigiFund require a minimum amount of 50,000 TTD. Average property investments range between 1M to 10M TTD.

3.2. A 1% booking fee is applied to every investment made through The DigiFund.

3.3. Investments will be held in escrow until the property is 100% funded. Returns are proportionate to the amount invested minus any applicable expenses.

3.4. Returns are not guaranteed. No returns will be provided for months without income and returns will be backed by statements.

3.5. Shareholders have the first right of refusal if the property is disposed of, and decisions regarding the property are at the sole discretion of The DigiFund team consisting of experts in various fields.

3.6. Shares may be resold on a secondary marketplace as per the available options.

4. User Conduct

4.1. You agree not to use the Site or Services for any unlawful or prohibited purpose.

4.2. You are responsible for all activities that occur under your account and agree to immediately notify us of any unauthorized use of your account.

4.3. You must not interfere with or disrupt the Site or Services or any servers or networks connected to the Site.

5. Intellectual Property

5.1. All content on the Site, including text, graphics, logos, and software, is the property of The DigiFund or its licensors and is protected by copyright, trademark, and other intellectual property laws.

5.2. You may not copy, modify, distribute, or create derivative works from any content on the Site without our express written permission.

6. Disclaimers and Limitation of Liability

6.1. The Site and Services are provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

6.2. To the fullest extent permitted by law, The DigiFund shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits or data, arising out of or related to your use of the Site or Services.

7. Indemnification

7.1. You agree to indemnify, defend, and hold harmless The DigiFund, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or related to your use of the Site or Services or any violation of these Terms.

8. Changes to Terms

8.1. We may modify these Terms at any time by posting the updated Terms on the Site. Your continued use of the Site or Services after any changes constitutes your acceptance of the new Terms.

9. Termination

9.1. We reserve the right to terminate or suspend your access to the Site or Services at any time, with or without cause, and without prior notice.

10. Governing Law

10.1. These Terms shall be governed by and construed in accordance with the laws of Trinidad and Tobago, without regard to its conflict of law principles.
